The terms that apply when you use our website and services.

1. Acceptance of Terms
1.1 Binding Agreement
By accessing or using our services you confirm that you have the legal capacity and authority to enter into this agreement and agree to comply with these Terms.
1.2 Changes to Terms
We may update these Terms at any time. Where changes are significant we will make reasonable efforts to notify you. Continued use of our services constitutes acceptance of the updated Terms.
1.3 Agreement
By engaging with Edweb Media or making any payment you confirm that you have read understood and agreed to these Terms.
2. Eligibility
Our services are intended for individuals or businesses aged 18 and over who have the legal capacity to enter into binding agreements and comply with applicable laws.
3. Services Overview
Edweb Media provides website design, app development, branding, social media management and related digital services on either a monthly or once off basis depending on the agreed package.
4. Monthly Services and Payments
4.1 Start of Work and Initial Payment
Work will only commence once the first payment has been received.
By requesting Edweb Media to begin work you agree that the initial payment is due immediately upon commencement. This ensures commitment from the client and allows the project to proceed without delays.
An estimated project timeline will be provided at the start of the project. This timeline is based on the scope of work, complexity and expected turnaround times. Delivery timelines may vary depending on client response times, availability of required content and other external factors.
Failure to make the initial payment after work has begun may result in immediate suspension of services.
4.2 Monthly Fees, Billing Cycle and Due Date
All monthly fees must be paid by the first day of each calendar month unless otherwise agreed in writing.
Billing is structured as follows:
- If work commences on or before the 15th of a calendar month the client will be billed for that month and all future payments will be due on the first day of each month.
- If work commences after the 15th of a calendar month the first full billing cycle will begin on the first day of the following month.
The initial payment secures project commencement and covers the setup and onboarding phase. This may include partial work completed before the first full billing cycle begins.
No daily or pro rated billing will apply unless otherwise agreed in writing.
4.3 Late Payments and Suspension
If payment is not received within 14 days of the due date Edweb Media reserves the right to suspend all services including website hosting email and related systems until payment is received. No late fees will be applied within the first 14 days after the due date.
At our discretion we may allow extended time for payment if prior communication has been received from the client. This does not waive our right to suspend services and does not set a precedent for future payments.
Repeated late payments may result in stricter enforcement of these Terms including immediate suspension of services after the due date.
4.4 No Refunds, Billing Cycle and Cancellation
All monthly payments are non refundable.
Monthly fees are charged in advance for the upcoming service period. By making payment you are securing access to services hosting and ongoing support for the following billing cycle regardless of usage.
Failure to use the service does not exempt you from payment obligations.
Services are provided on a month to month basis. Cancellation must be submitted in writing before the start of a new billing cycle.
If cancellation is received after a new billing cycle has started you remain responsible for payment for that full month and the cancellation will only take effect at the end of that billing period.
4.5 Non Payment and Service Control
In the event of non payment Edweb Media reserves full control over all services including taking the website offline disabling hosting services suspending domain or email access and restricting administrative access.
Services will only be restored once all outstanding balances are paid in full.
Edweb Media retains full administrative control over all systems and may revoke or restrict client access in cases of non payment.
4.6 Scope of Work
Monthly packages are based on standard service allocations. If your project exceeds the agreed scope we will provide a revised quote.
If declined we reserve the right to limit the scope of work or terminate the service.
4.7 Additional Work
Any work outside the agreed scope including additional pages features or revisions will be billed separately and must be approved before work begins.
4.8 Client Responsibilities
You agree to provide all required content information and materials in a timely manner.
You confirm that all content provided is accurate and lawful that you have the rights to use all materials supplied and that you are responsible for compliance with applicable laws.
Edweb Media is not liable for any issues arising from client provided content.
4.9 Project Delays and Abandonment
If the client fails to provide required information content or feedback for 14 days or more the project may be considered inactive.
Edweb Media reserves the right to pause all work reschedule the project or require a restart fee or revised quote before continuing.
4.10 Client Communication Responsibility
Delays caused by lack of communication or late responses from the client will not be the responsibility of Edweb Media and may impact delivery timelines.
5. Once Off Projects
5.1 Deposit
A non refundable 50 percent deposit is required before any work begins.
5.2 Final Payment
The remaining balance is due upon completion or agreed milestone and must be paid within 14 days.
Final deliverables will only be released once full payment has been received.
5.3 Ownership
Ownership of the final project transfers only after full payment has been received.
5.4 No Refunds
All deposits and completed work payments are non refundable.
5.5 Domain Management
If a domain is included as part of a package Edweb Media will manage and renew the domain on behalf of the client for the duration of the service.
Domain ownership remains with the client where applicable. However domain management renewals and related configurations are handled by Edweb Media as part of the service.
Failure to maintain active service with Edweb Media may result in the client becoming responsible for domain management and renewal moving forward.
6. User Conduct
You agree not to use our services for unlawful purposes or engage in activities that may harm our services or reputation.
7. Intellectual Property
All materials created by Edweb Media remain our property until full payment has been received.
You may not reproduce or reuse any work without permission until ownership has been transferred.
Edweb Media reserves the right to display completed work in its portfolio and marketing materials unless otherwise agreed in writing.
8. Data and Backups
While reasonable efforts may be made to maintain backups Edweb Media does not guarantee the availability or recovery of any data.
The client is responsible for maintaining their own backups.
9. Disclaimers
9.1 Service Provided As Is
All services are provided as is without warranties of any kind.
9.2 No Guarantees
We do not guarantee uninterrupted or error free service.
9.3 No Performance Guarantees
We do not guarantee search rankings traffic leads or sales.
9.4 Third Party Services
We are not responsible for issues caused by third party providers including hosting services plugins or integrations.
9.5 Right to Refuse Service
Edweb Media reserves the right to refuse or terminate services if a client's activities are unlawful unethical or harmful to our business.
9.6 Hosting and Domain Responsibility
Edweb Media manages hosting and domain services as part of its offering. While reasonable steps are taken to ensure reliability and uptime we do not guarantee uninterrupted service.
We are not liable for downtime loss of access or service interruptions caused by third party providers domain registrars or hosting infrastructure.
10. Limitation of Liability
To the fullest extent permitted by law Edweb Media is not liable for indirect or consequential damages including loss of profits data or business opportunities.
11. Indemnification
You agree to indemnify and hold Edweb Media harmless from any claims arising from your use of our services or violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the Western Cape South Africa.
13. Termination
We may terminate services immediately if these Terms are breached or required to protect our business.
14. General
If any part of these Terms is found to be unenforceable the remaining sections remain valid.
These Terms represent the full agreement between you and Edweb Media.
