Welcome to edwebmedia.com (the “Website”). These Terms and Conditions (“Terms”) are a legally binding agreement between Edweb Media (“we” “us” or “our”) and any person or entity (“you” or “User”) who accesses or uses our Website or related services (collectively the “Service”).
By accessing or using the Service you agree to these Terms. If you do not agree with any part of these Terms you must discontinue use of the Service immediately.
1. Acceptance of Terms
1.1 Binding Agreement
By accessing or using the Service you represent and warrant that you have the right authority and capacity to enter into these Terms and to abide by all obligations set forth herein.
1.2 Changes to Terms
We may modify or replace these Terms at our discretion. If a revision is material we will make reasonable efforts to provide at least 30 days’ notice before new terms take effect. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
2. Eligibility
2.1 Intended Users
Our Service is intended primarily for businesses or individuals over 18 who have the legal capacity to form binding contracts.
2.2 Compliance with Laws
You agree to use the Service only in compliance with all applicable local national and international laws regulations and rules.
3. Accounts
At this time no user account is required to access or use our Website or Services. If we decide to introduce a registration system or user accounts in the future we will update these Terms and Conditions accordingly and notify users of any material changes.
4. Payment and Services (Monthly Packages)
4.1 Monthly Fees and Due Date
You agree to pay all monthly service fees (“Monthly Fees”) by the last day of each calendar month (“Due Date”) unless otherwise agreed in writing.
4.2 Grace Period and Suspension
We offer a 14-day grace period after the Due Date. If the previous month’s fees remain unpaid when the next month’s payment is due we may suspend or deactivate your services until the outstanding balance is paid in full.
4.3 No Refunds and Month-to-Month Term
All Monthly Fees are non-refundable once paid. Our services are provided on a month-to-month basis which you may cancel at any time by emailing info@edwebmedia.com. Your cancellation will be effective at the end of the current billing cycle.
4.4 Estimates and Scope
Prices for monthly packages on edwebmedia.com or in any promotional materials are estimates based on typical website sizes or standard service requests. If your site or project requires more pages products or features than originally covered we will provide a revised quote. If you decline we may reduce the service scope or terminate the agreement at our discretion.
5. Once-Off Packages
5.1 Deposit and Project Commencement
For one-time or project-based packages (“Once-Off Packages”) a non-refundable deposit of 50% of the total quoted fee (“Deposit”) is required before any work can begin. By paying the Deposit you accept the scope deliverables and timeline outlined in your project quote or agreement with Edweb Media.
5.2 Final Payment and Ownership
Once the project is completed or an agreed milestone is reached we will invoice you for the remaining 50% (“Final Payment”). You agree to pay this invoice within 14 days of its date. We will provide final deliverables (including website files or design assets) only after receiving the Final Payment in full. Upon our receipt of the Final Payment ownership of the completed website design content and deliverables transfers to you.
5.3 No Refunds
The Deposit is non-refundable. After we receive the Final Payment and hand over the deliverables no refunds will be issued unless required by law or specified in a separate written agreement.
5.4 Domain Registration and Renewal
If your package includes a free domain for a set period you are responsible for renewing the domain after that period ends. Renewal fees vary based on current market rates. We can assist with domain transfers once all outstanding payments are made. You are responsible for any transfer or related fees.
6. User Conduct
6.1 Prohibited Activities
You agree not to:
- Use the Service for any unlawful or prohibited purpose
- Infringe any intellectual property or other proprietary rights
- Post content that is defamatory obscene harassing or otherwise objectionable
- Upload viruses malware or harmful code that interferes with the functionality of our Service or users’ devices
- Impersonate any person or entity or misrepresent your affiliation
6.2 No Collection of Data
You must not harvest or collect personal information about other users without their prior written consent.
7. Intellectual Property
7.1 Ownership
Unless otherwise stated all content on the Service including text images logos and software is owned by or licensed to Edweb Media and is protected by intellectual property laws.
7.2 License
Subject to your compliance with these Terms we grant you a non-exclusive non-transferable revocable license to access and use the Service for its intended purpose. You may not reproduce distribute modify or create derivative works of our content without our prior written permission.
8. Domain Renewal
8.1 Ongoing Responsibility
If you register a domain through Edweb Media as part of a monthly package or a once-off project you are responsible for renewing that domain once any free period ends.
8.2 Variable Rates
Domain renewal rates depend on current market conditions and the domain extension. If you fail to renew your domain on time it may expire or become unavailable.
9. Disclaimer of Warranties
9.1 Service Provided “As Is”
Your use of the Service is at your own risk. The Service is provided on an “as is” and “as available” basis without any warranties of any kind whether express or implied including but not limited to warranties of merchantability fitness for a particular purpose or non-infringement.
9.2 No Guarantee
We do not guarantee that the Service will be uninterrupted secure or error-free that defects will be corrected or that the Service is free of viruses or harmful components.
10. Limitation of Liability
To the fullest extent permitted by law Edweb Media its directors officers employees partners and suppliers shall not be liable for any indirect incidental special consequential or punitive damages including without limitation loss of profits data or other intangible losses arising from your access to or use of or inability to use the Service any conduct or content of any third party on the Service any content obtained from the Service or unauthorized access use or alteration of your transmissions. This limitation applies whether the alleged liability is based on contract tort negligence strict liability or any other basis and even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to defend indemnify and hold harmless Edweb Media and its affiliates officers directors employees and agents from and against any claims damages obligations losses liabilities costs or debt and expenses (including attorney’s fees) arising out of or related to your use or misuse of the Service your violation of these Terms or your violation of any third-party right.
12. Governing Law and Venue
These Terms and any dispute arising out of or related to them shall be governed by the laws of the Western Cape South Africa without regard to its conflict of law provisions. Any legal suit action or proceeding shall be brought in the courts located in the Western Cape. You consent to the personal jurisdiction of and venue in such courts.
13. Termination
13.1 Termination by Us
We may terminate or suspend your access to the Service immediately without prior notice or liability if you breach these Terms or if we decide to discontinue the Service.
13.2 Effects of Termination
Upon termination your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination will remain in effect including but not limited to ownership disclaimers indemnity and limitations of liability.
14. Miscellaneous
14.1 Severability
If any provision of these Terms is deemed unlawful void or unenforceable that provision will be modified to the minimum extent necessary so these Terms remain in full force and effect.
14.2 No Waiver
Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.3 Entire Agreement
These Terms and our Privacy Policy represent the entire agreement between you and Edweb Media regarding the Service and supersede any prior or contemporaneous agreements or proposals.
14.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at our discretion without restriction.
